Access to and use of this Website and the information, materials, products, and services available through this Website are subject to all applicable laws and regulations and to these Terms of Use. By accessing, browsing, and shopping at this Website, you accept, without limitation or qualification, these Terms of Use, which form a legally binding agreement. If you do not agree, please exit this Website.

These Terms of Use may be changed by us from time to time without specific notice to you. The latest Terms of Use will be posted on the Website, and you should always review these Terms of Use prior to using the Website to ensure that you have a current understanding of the Terms of Use under which you are permitted to access this Website. If you cannot access the Terms of Use via the Internet, we can provide a copy of the most recent Terms of Use by e-mail upon request. Our primary operation and shipping location is in China. For operational and legal purposes, our sales and legal entity is registered in the United States as Lucky Axis LLC. All transactions and agreements are governed by the laws of the State of America, as further specified in the "Governing Law and Arbitration" section below.

Controlling Terms

Buyer expressly agrees that Seller’s Invoice and these Terms and Conditions of Sale represent the complete agreement of the parties with respect to the sale of the product(s) listed on the Invoice and no different or additional terms or conditions in Buyer’s purchase order or in any other prior or subsequent communications in any way adding to, modifying or otherwise changing these Terms and Conditions of Sale shall be binding upon Seller.

Acceptance of Orders

An order is considered accepted by both the Buyer and the Seller when the Buyer adds products to the shopping cart and/or completes payment. By completing these actions, the Buyer agrees to be bound by these Terms and Conditions. The Seller is then obligated to supply the applicable Goods in accordance with these terms and conditions. Any changes or modifications to the order after acceptance must be mutually agreed upon in writing by both parties.

Prices

Unless otherwise indicated on the face of the invoice, all prices are quoted on a per U.S. Dollar basis. Buyer is responsible for any tax or government charges imposed upon the sale or transfer of the Product. Buyer shall not have any right to set off any amounts due hereunder against any amounts which may become payable to Seller under any other agreement.

Delivery

Unless otherwise agreed in writing signed by a manager of Seller, all delivery dates are estimates. Seller shall use its reasonable efforts to deliver all Products within the time specified; however, in no case shall Seller be liable for any expense, loss, or damage whatsoever suffered by Buyer as a result of the Seller’s failure to deliver Product by the specified date.

Transportation and Risk of Loss

Unless Buyer timely provides explicit instructions, the method and route of shipment are at Seller’s discretion. The risk of loss or damage to the goods shall pass to the Buyer upon delivery into the Buyer's possession or to the carrier or place of delivery nominated by the Buyer. Seller shall be under no liability whatsoever for any loss or damage occurring thereafter. If goods are damaged or lost during transit before the transfer of risk, and the Buyer notifies the Seller within two (2) business days of delivery (or in the case of non-delivery, within two (2) business days of the expected delivery date), the Seller shall be responsible. Seller will not accept claims for quantity discrepancies or transport damage after the Seller or its agent has received a clear receipt. If inspection of goods is not possible at the time of delivery, the Buyer should refuse acceptance with the carrier.

Cancellation or Modification

Any order placed with and accepted by Seller may be canceled by Buyer only upon Seller’s approval in a writing signed by a manager of Seller and upon terms that indemnify Seller against any loss. Seller will not accept order cancellations once a product has been delivered to a carrier, without charging a cancellation fee of twenty-five percent (25%) of order value to recover retrieval costs incurred. Seller will not accept cancellations of special orders of non-standard, non-price list products. Seller may cancel all or any part of this order and discontinue its performance hereunder without liability to Buyer in the event Buyer materially breaches this contract, becomes insolvent, is subject to bankruptcy protection, or is subject to a receivership, liquidation, dissolution, or similar proceeding.

Taxes

Buyer is responsible for any tax or governmental charge imposed upon the sale or transfer of any product. Any such tax or governmental charge will be added to the total invoice amount. Unless stated on invoiuce, all prices are FOB Seller's facilities. Applicable freight costs will be added to the invoice.

Specifications

If the product is manufactured or modified according to the Buyer’s own specifications, the Seller shall not be liable for the suitability of the supplied product, and these goods may not be returned for a refund without the Seller’s prior written consent.

Packaging and Product Appearance

The Seller may, for various reasons, ship products with packaging or appearance that differs slightly from what is displayed on the website, and the Seller may not notify the Buyer in advance. The Buyer may not refuse or return products on these grounds. However, the Seller guarantees that the product’s specifications and performance are consistent with the website description.

Warranty and Disclaimer

Seller warrants that the purchased Product is free from defects in materials and workmanship at the time of delivery. If an analysis is stated on the face of the Invoice, it is not intended to be a complete analysis and is not to be regarded as a specification or warranty, unless specifically stated in writing to be such.

Limitation of Liability

Buyer acknowledges and agrees that Seller’s liability for any claims with respect to the products shall not exceed the amount paid by Buyer for the products under the invoice. Such limitations on Seller’s liability hereunder shall apply even if Seller’s liability is due in whole or in part to its own negligence. Any action by or on behalf of Buyer or its successors or assigns for breach of this document must be commenced within one (1) year after the cause of action has accrued.

Return of Products, Parts, and Materials

Upon delivery of Product, unless otherwise stated, Buyer shall have ten (10) days to inspect Product and notify Seller, in writing, of any defective goods or other cause for rejection. Buyer agrees that ten (10) day period provides Buyer a reasonable opportunity to inspect the Product. Such notification shall identify each and every reason for any rejection of Product. Buyer’s failure to reject Product within such ten (10) day period shall constitute a waiver of Buyer’s inspection right and an unqualified and irrevocable acceptance of the Product by Buyer.

1) The Buyer should understand our Shipping Policy before payment. For cross-border or international shipments, the Buyer should be aware that any customs duties or other fees incurred are the Buyer’s responsibility. The Seller is not liable for failure to deliver the order due to the Buyer’s refusal or non-cooperation with the logistics carrier in completing customs clearance. The Buyer may also designate a logistics carrier before shipment or appoint a customs clearance agent upon the product’s arrival in the destination country/region. If the product is returned due to this reason, the Seller will not bear the round-trip shipping costs. Even if the product is returned, the Seller will not issue a refund.

2) In the case of cross-border or international shipments, the Buyer must actively and promptly cooperate with the logistics carrier to complete customs clearance. Typically, customs clearance can be completed within 7~14 days after the goods arrive at the customs warehouse of the destination country/region. Any additional costs incurred due to delayed customs clearance shall be borne by the Buyer. If the delay is caused by the logistics carrier, whether intentionally or unintentionally, the Buyer should file a complaint with the logistics carrier and seek compensation. The Seller shall assist the Buyer in obtaining compensation, but this does not constitute an obligation for the Buyer.

3) The Buyer has ten (10) days to inspect the product for defects. If the Buyer requests a return for reasons other than quality issues, the Buyer shall bear the shipping costs for both the original shipment and the return. After deducting the incurred costs, the Seller will refund the remaining balance to the Buyer within the time specified in this document.

Passing of Property

The risk in the goods supplied shall pass to the Buyer on delivery into the Buyer's possession or to the carrier or place of delivery nominated by the Buyer, and the Seller shall be under no liability whatsoever for any loss or damage occurring thereafter.

Indemnity

Buyer shall defend, indemnify and hold harmless Seller and its affiliated or related companies from and against any and all claims, losses, liability, damages, and expenses including, but not limited to, attorneys’ fees and cost of defense arising from, related to or in any way connected with or alleged to arise from or out of any asserted deficiencies or defects in Product caused by any alteration or modification thereof by Buyer with or without Seller’s consent, or improper handling or storage by Buyer, the breach of any term or condition stated herein, Buyer’s failure to label Product or Buyer’s improper labeling of Product regardless of whether the labeling was done with or without the advice of Seller, or any act or omission of Buyer including any Claims for or resulting from any injury to person ( including death) or damage to property or for economic loss, several or comparative negligence, breach of agreement, breach of warranty or other breach of duty of or by Indemnitee or as a result of Indemnitee’s strict or other product liability. The foregoing indemnification shall not be construed to eliminate or in any way reduce any other indemnification or right which Indemnitee has by law.

Product Performance and Safety Compliance

The products we sell are primarily intended for personal use. We have researched the compliance of our products with local safety regulations in different regions during product development, including food hygiene and safety for edible products. We obtain test reports for applicable standards in different sales regions. Due to the variety of products and the time-sensitive nature of test reports, we do not guarantee that all test reports or certifications are updated or displayed in a timely manner. The Buyer acknowledges and understands this at the time of purchase.

Governing Law and Arbitration

This document shall be interpreted and governed by the law of the State of America, excluding its conflicts of laws rules. The parties specifically exclude the application of the United Nations Convention on the Sale of Goods.
